These Terms of Service ("Terms") govern your access to and use of the website located at https://thekorsrq.com (the "Site"), operated by The KoR SRQ ("The KoR," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not access or use the Site.
The Site is intended for users who are at least 18 years of age. By using the Site, you represent and warrant that you are 18 years of age or older and that you have the legal capacity to enter into these Terms. If you do not meet these requirements, you may not use the Site.
The Site is provided for general informational purposes and to allow you to learn about The KoR, request a tour, apply for membership, and book services. The Site does not itself constitute a membership agreement. Your rights and obligations as a member — including membership terms, fees, billing, cancellation, facility rules, and access — are governed by a separate written membership agreement and any applicable facility policies you receive when you join. In the event of a conflict between these Terms and your membership agreement with respect to membership matters, the membership agreement controls.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial purposes. You agree that you will not:
The Site and all of its content — including text, graphics, images, logos, button icons, photographs, video, page layouts, and the selection and arrangement thereof — are the property of The KoR or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. "The KoR," "The KoR SRQ," the KoR logo, "The Keyholder," "The KoR Performance Institute," and related names and marks are trademarks of The KoR. You may not use our marks without our prior written permission. Except for the limited license granted in Section 4, no rights are granted to you in or to the Site or its content.
If you submit information, suggestions, feedback, or other communications to us through the Site or otherwise ("Submissions"), you grant us a non-exclusive, royalty-free, perpetual, and worldwide license to use such Submissions for our business purposes, without compensation or attribution, except where prohibited by law and except for personal information, which is handled in accordance with our Privacy Policy. You are responsible for the accuracy and lawfulness of any information you submit and represent that you have the right to provide it.
The KoR provides physically demanding activities including strength training, cold plunge immersion, sauna use, and contrast and recovery therapy. The information on the Site and any guidance provided is for general informational purposes only and is not medical advice and is not a substitute for professional medical evaluation, diagnosis, or treatment.
Consult a physician before beginning any exercise, cold-plunge, sauna, contrast-therapy, or other recovery program, particularly if you have any pre-existing health condition or concern. Cold and heat exposure carry inherent risks and may be contraindicated for certain individuals, including but not limited to those who are pregnant or may be pregnant; have cardiovascular or heart conditions, high or low blood pressure, circulatory disorders, a history of stroke, or a seizure disorder; have respiratory conditions; have open wounds or infections; are under the influence of alcohol or drugs; or have any other condition that may be aggravated by extreme temperatures.
Participation in any activity at or promoted by The KoR is entirely voluntary and undertaken at your own risk. By using our Site and services, you acknowledge and assume all risks of injury, illness, or harm associated with physical exercise and cold and heat exposure. If you experience dizziness, chest pain, shortness of breath, numbness, or any other concerning symptom during any activity, stop immediately and seek medical attention. Nothing on the Site creates a doctor-patient relationship.
The Site may contain links to or integrate with third-party websites, platforms, and services that we do not own or control, including our membership and booking platform and other service providers. We are not responsible for the content, products, services, privacy practices, or availability of any third-party services. Your use of third-party services is governed by their own terms and policies.
THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE KOR, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless The KoR and its owners, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any rights of any third party.
These Terms and any dispute arising out of or relating to them or the Site shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. Subject to the dispute resolution provisions below, you agree that any judicial proceeding shall be brought exclusively in the state or federal courts located in Sarasota County, Florida, and you consent to the personal jurisdiction of those courts.
Please read this section carefully, as it affects how disputes are resolved. The parties will first attempt to resolve any dispute informally by contacting one another. If a dispute is not resolved within thirty (30) days, any dispute, claim, or controversy arising out of or relating to these Terms or the Site that cannot be resolved informally shall be resolved by binding arbitration administered in Sarasota County, Florida, in accordance with the rules of a recognized arbitration provider, rather than in court, except that either party may bring a claim in small-claims court for disputes within that court's jurisdiction.
To the extent permitted by law, you and The KoR agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims. If this class-action waiver is found unenforceable, the entire arbitration provision shall be null and void.
We may modify these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Changes are effective when posted. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
These Terms, together with our Privacy Policy and, where applicable, your membership agreement, constitute the entire agreement between you and The KoR regarding your use of the Site and supersede any prior agreements relating to the same subject matter.
